Learn About Medallion Stamps for Stock Transfers

What Are Medallion Stamps and Why They Matter for Stock Transfers

A medallion stamp is a guarantee that appears on stock certificates and other securities when they are transferred from one owner to another. Think of it as a special seal that confirms the authenticity of a signature on financial documents. When you sell stocks or transfer ownership of securities, a medallion stamp serves as a bank's or brokerage firm's promise that the signature on the transfer documents is legitimate and that the person transferring the securities has the authority to do so.

The medallion stamp system protects investors, brokers, and financial institutions from fraud and forgery. Without this verification process, criminals could potentially forge signatures and steal securities. The medallion stamp acts as a safeguard in the financial system. Financial institutions that issue these stamps undergo strict training and maintain detailed records of all medallion stamps they issue.

There are actually several different types of medallion stamp programs operating in the United States. Each program has different rules about who can issue stamps and how much liability the issuing institution accepts. Understanding which type of medallion stamp applies to your situation helps you know what to expect when transferring securities.

The medallion stamp requirement exists because of regulations from the Securities and Exchange Commission (SEC) and rules established by major stock exchanges. These rules have been in place since the 1970s and continue to be refined based on current security threats and technology. Most securities transfers require a medallion stamp unless certain specific exceptions apply.

Practical Takeaway: A medallion stamp is a bank or brokerage firm's guarantee that a signature on a stock transfer document is real and authorized. This protection helps prevent theft and fraud in the securities market. Knowing this background helps explain why financial institutions request medallion stamps during transfer processes.

Understanding the Three Types of Medallion Programs

The medallion stamp system includes three main programs that operate throughout the United States. Each program has different membership requirements and covers different types of financial institutions. The three programs are the Stock Exchanges Medallion Program (SEMP), the Medallion Signature Guarantee Program (MSP), and the New York Stock Exchange Medallion Program (NYSE MRP).

The Stock Exchanges Medallion Program serves smaller brokerage firms and investment banks. Member firms of regional stock exchanges can participate in SEMP. This program allows these institutions to issue medallion stamps for securities transfers. SEMP typically covers transfers up to certain dollar amounts, with higher coverage available for certain types of securities or transactions. Many smaller regional brokers rely on SEMP to provide medallion stamp services to their clients.

The Medallion Signature Guarantee Program is maintained by the American Stock Transfer and Trust Company and serves savings institutions, credit unions, and smaller banks. MSP allows these financial institutions to issue medallion stamps for their customers. This program expanded to include more types of financial institutions over time, making medallion stamps more widely available to the general public. Many community banks and credit unions participate in MSP specifically because it allows them to offer this service to their customer base.

The New York Stock Exchange Medallion Program covers large national banks and investment firms with significant volumes of securities transfers. NYSE MRP participants handle the largest dollar amounts of securities transfers. These institutions typically transfer millions or billions of dollars in securities regularly. Major banks like Bank of America, Wells Fargo, and JPMorgan Chase participate in NYSE MRP. This program is the most commonly used for large institutional transfers and high-value securities.

Each program maintains its own standards and insurance coverage. A medallion stamp from one program is recognized and accepted by all participants in the securities transfer system. However, the dollar limits and types of transactions covered may differ between programs. When you need a medallion stamp, the financial institution you work with will issue one through whichever program they participate in.

Practical Takeaway: Three different medallion programs serve different types of financial institutions. Your bank or brokerage firm participates in one of these programs. Understanding which program your institution uses helps explain any specific procedures or limitations they mention regarding medallion stamp coverage.

When You Need a Medallion Stamp for Securities Transfers

Medallion stamps are required for most securities transfers, but certain specific situations do not require them. Understanding when a medallion stamp is necessary helps you prepare for your transfer and know what documents to gather. Generally, if you are transferring stocks, bonds, or other securities from one owner to another through a broker or securities firm, a medallion stamp will be required.

Common situations that require medallion stamps include transferring stocks when you sell them, changing the registration on a stock certificate from one name to multiple names, transferring securities as part of an estate settlement after someone passes away, and moving securities from one brokerage account to another at a different firm. Any time the ownership or registration of securities changes, the transfer agent or receiving brokerage firm typically requires a medallion stamp to verify the signature authorizing the change.

Securities transfers in specific dollar amounts may face higher scrutiny and stricter requirements. Most transfer agents and brokerage firms have internal policies about dollar thresholds. Transfers above certain amounts may require additional documentation beyond the medallion stamp. These thresholds vary by institution but commonly range from $50,000 to several million dollars depending on the financial institution and type of security.

Some situations are exempted from the medallion stamp requirement. These exemptions exist to reduce unnecessary paperwork and delays for straightforward transfers. Transfers where the owner and the new owner are the same person do not typically require a medallion stamp—for example, changing the registration from "John Smith" to "John Smith, Trustee." Transfers to a spouse as part of a divorce settlement sometimes qualify for exemptions under certain state laws. Transfers of securities with very low values under $1,000 may be exempted by some transfer agents. Transfers executed directly through a company's transfer agent without using a broker may have different requirements.

Transfer agents maintain lists of situations that do and do not require medallion stamps. These rules come from the SEC and FINRA (Financial Industry Regulatory Authority). When you initiate a securities transfer, the receiving institution will inform you whether a medallion stamp is required for your specific transaction.

Practical Takeaway: Most securities transfers require a medallion stamp, but some common situations like registering securities in a trust or transferring to yourself may be exempted. When you plan to transfer securities, contact the receiving institution or transfer agent to confirm whether your specific transfer requires a medallion stamp.

How to Obtain a Medallion Stamp for Your Transfer

Obtaining a medallion stamp involves visiting a financial institution that participates in one of the medallion programs. You cannot purchase a medallion stamp on its own—it is issued by banks, brokerage firms, or credit unions as part of their service to customers. The process typically takes one business day to one week, depending on the institution and the complexity of your transfer.

The first step is to contact your bank, brokerage firm, or credit union and explain that you need a medallion stamp guarantee for a securities transfer. Ask which medallion program they participate in and what documents you need to bring. Many institutions have specific forms you must complete. You will need to bring the original stock certificates or documentation of the securities you are transferring, identification documents such as a driver's license or passport, and any transfer forms required by the transfer agent.

When you visit in person, a representative from the financial institution will review your documents and verify your identity. This person is typically an officer or authorized employee of the institution. They will examine the signature on your transfer documents and compare it to your signature on file. They will verify that you are the person authorized to transfer the securities. This verification process protects against fraud and forgery.

After verification is complete, the authorized representative will apply the medallion stamp to your transfer documents. The stamp includes specific information such as the name of the guaranteeing institution, the date the stamp was issued, and the amount of coverage the stamp provides. The stamp typically appears on the front or back of the stock certificate or transfer form. Some institutions use a physical stamp, while others use digital signatures for electronic transfers.

Different institutions charge different fees for medallion stamps. Some banks and brokerage firms offer them free to account holders, while others charge fees ranging from $25 to $100 or more for the service. Credit unions often charge lower fees than banks. If you are transferring a very large amount of securities, some institutions may negotiate fees. It is worth asking about fees when you contact your financial institution.

Timing matters when obtaining a medallion stamp. Once issued, most medallion stamps remain valid for one year
